Terms of Service

These Terms of Service govern access to and use of Ferchon Systems point-of-sale software, hardware, and support. The customer’s signed order form may include additional terms and controls where it conflicts with these general terms.

Accounts and staff access

Customers must provide accurate account information, safeguard credentials, manage staff access and PINs, and remain responsible for activity performed through their accounts.

Agreement term and renewal

Each service agreement runs for the 12 to 36 month term stated in the customer’s signed order form. Auto-renewal terms: [AUTO-RENEWAL TERMS].

Pricing and payment

The Starter plan is $49 per month with no upfront equipment cost. Card processing is 2.9% + $0.35 per card transaction. Customers are responsible for applicable taxes. Invoices are due by their stated due dates; overdue balances may result in service suspension after notice. Any late-payment charges must be stated in the signed order form.

Equipment

Starter equipment remains Ferchon Systems property and must be returned in good condition at the end of the agreement. Equipment non-return fee: [EQUIPMENT NON-RETURN FEE].

Early termination

Acceptable use

Customers may not use the service unlawfully, interfere with its operation or security, attempt unauthorized access, or misuse the service to harm others. Customers are responsible for ensuring that their use complies with laws applicable to their business.

Customer data

The business owns its sales and customer data. Customers authorize Ferchon Systems to process that data as needed to provide and support the service and as described in the Privacy Policy.

Availability and offline mode

Availability and offline functionality may depend on the equipment, configuration, network, and payment processor. No uptime guarantee applies unless it is expressly stated in the signed order form.

Disclaimer of warranties

To the fullest extent permitted by law, the service and equipment are provided as described in the signed order form, without other warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of liability

To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages. Total aggregate liability is limited to the total fees paid by Customer to Ferchon Systems in the twelve (12) months preceding the incident giving rise to the claim, or $500, whichever is less. Nothing in these Terms limits liability that cannot legally be limited.

Indemnification

Each party is responsible for its own unlawful conduct, breach of these Terms, and infringement of third-party rights. Any indemnification obligations remain subject to applicable law and the signed order form.

Termination

Either party may terminate as allowed by the signed order form or applicable law. Ferchon Systems may suspend access for security risks, unlawful use, or overdue payments after notice where required. On termination, access ends and equipment must be returned as described above.

Governing law and venue

These Terms are governed by the laws of the State of South Carolina, without regard to conflict-of-law rules. The parties agree to exclusive venue in Greenville County, South Carolina.

Changes to these Terms

We may update these Terms by posting a revised version here and changing the “Last updated” date. Material changes will be communicated as required by law or the signed order form.
